(8) Regulation2.21appliestoamemberofaDivisionCommitteeandanyDivisionsub‐

Note.Regulation2.21dealswithconflictsofinterest.Foradefinitionof‘conflictofinterest’seeregulation1.04.
(9) Intheeventofacasualvacancyonacommittee,thecommitteemay
(a) Ifthevacancyisanelectedpositionandthevacancycausesthecommittee
tofallbelowthemembershipthresholdprescribedin4.04(1),offerthe
positiontoanomineewhoreceivedthenextmostvotesintherelevant
election.
Note:Regulation4.04(1)prescribesthatacommitteeconsistsofatleast8butnomorethan14members.
(b) Ifthevacancyisanelectedpositionandthevacancydoesnotcausethe
committeetofallbelowthemembershipthresholdprescribedin4.04(1),
thecommitteemayofferthepositiontoanomineewhoreceivedthenext
mostvotesintherelevantelection,appointavotingmemberforthe
remainderofthepositiontenure,orleavethepositionvacantforthe
remainderofthepositiontenure.
Note:Ifthenomineewhoreceivedthenextmostvotesdeclinestheposition,othernomineeswithlesservotescan
be considered until such time as the position is filled. If there were only two nominees and the nominee who
receivedthenextmostvotesdeclinestheposition,theChiefExecutiveOfficerhasthediscretion,inconsultation
withtheDivisionGeneralManager,todetermineaprocesstobeappliedfortheremainderofapositiontenure.
(c) Iftheelectedpositionwasfilledelectedunopposed,thecommitteemayfill
the vacancy through appointment for the remaining tenure and will be
deemednottobeinbreachof4.04(3).
Note:Regulation4.04(3)prescribesthatatanytime,amajorityofthemembersoftheDivisionCommitteemust
bememberselectedtotheCommittee.
(d) Ifthevacantpositioniscausedthroughdepartureofanappointedmember,
thecommitteemay,subjectto4.04(4),appointanothervotingmember.
Note:Regulation4.04(4)prescribestheconsiderationsappliedtoappointedmembers(diversity,representation
andrelevantskills,includingskillsinmanagementandgovernance).
4.05 DivisionCommittees–Functions
(1) ThefunctionsofaDivisionCommitteeare,withintheDivision’sgeographicalarea:
(a) toprovideleadershipanddirectiontomembers(includingofficebearers)in
theDivision;
(b) toliaisewithCollegesandtechnicalsocietiesinrespectofEngineers
Australia’slearnedsocietyfunctionsundertakenatthelocallevel,including
byencouragingcollaborationandcommunicationbetweenColleges,special
interestgroupsandcentres,nationalcommitteesandpanels,technical
societiesandtheirlocalbranches;
(c) toassisttheBoardwiththedeliveryofnationalprograms;
(d) toinitiateandsupportlocalprogramstoprovideimprovedservicesto
membersintheDivisionandtoappealtonewmembers;
